Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING ZAIFI. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zaifi ("Company," "we," "us," or "our") governing your access to and use of the Zaifi mobile application, web application, and related services (collectively, the "Service").

If you are using Zaifi on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICE

Zaifi is a financial management application designed to assist small business owners and individuals in organizing and tracking financial transactions, estimating tax liabilities, generating financial reports, managing invoices, and related tasks. The Service uses automated tools, artificial intelligence, and connections to third-party financial data providers to deliver these features.

3. NOT FINANCIAL, LEGAL, OR TAX ADVICE — IMPORTANT DISCLAIMER

ZAIFI IS A SOFTWARE TOOL, NOT A LICENSED FINANCIAL ADVISOR, CERTIFIED PUBLIC ACCOUNTANT (CPA), TAX PREPARER, ENROLLED AGENT, ATTORNEY, OR ANY OTHER LICENSED PROFESSIONAL.

NOTHING IN THE SERVICE, INCLUDING BUT NOT LIMITED TO: tax estimates, cash flow projections, expense categorizations, financial reports, AI-generated tips, transaction classifications, or any other output or communication from Zaifi, constitutes financial advice, tax advice, legal advice, accounting advice, or investment advice.

All outputs from the Service are provided for informational and organizational purposes only. Tax estimates are approximations based on general rules and the information you provide; they are not a substitute for a professional tax filing or consultation. Expense categories suggested by the Service may not reflect the treatment required by applicable law.

YOU ARE SOLELY RESPONSIBLE FOR ALL FINANCIAL, TAX, AND LEGAL DECISIONS. YOU SHOULD CONSULT A QUALIFIED CPA, TAX PROFESSIONAL, ENROLLED AGENT, FINANCIAL ADVISOR, OR ATTORNEY FOR ALL MATTERS RELATING TO YOUR TAXES, FINANCES, BUSINESS STRUCTURE, AND LEGAL OBLIGATIONS.

Zaifi expressly disclaims any liability arising from your reliance on any information or output produced by the Service.

4. ELIGIBILITY

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. The Service is intended for use in the United States; users outside the United States use the Service at their own risk and are responsible for compliance with local laws.

5. ACCOUNT REGISTRATION AND SECURITY

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms.

6. SUBSCRIPTION PLANS AND BILLING

The Service is offered on a subscription basis. Current plan options and pricing are displayed in the application and may be updated from time to time with notice. By subscribing, you authorize us (or our payment processor) to charge your payment method on a recurring basis at the then-current subscription rate.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Prices are stated in U.S. dollars and are exclusive of any applicable taxes.

Per-Business Billing: Each business you add to the Service is billed separately. Adding a business takes effect immediately and is charged at the then-current rate for an additional business.

Failed Payments and Lapsed Access: If a payment fails, we will attempt to collect it again over a retry period of approximately two weeks, and we will contact you at the email address on your account. During that period your access continues.

If payment has still not been made once the retry period ends, access to the affected business is suspended. You will be able to sign in and restore access by updating your payment method, but you will not be able to view or work in that business until you do.

You should understand what suspension means for your records. While a business is suspended, the Service does not record or categorise transactions for it. If you later resume the subscription, we cannot reconstruct the period during which it was unpaid — transactions that occurred in that gap will not have been captured, and your books for that period will be incomplete. If accurate records for that period matter to you, keep the subscription active or export your data before the retry period ends.

Household Sharing: Business Premium subscribers may invite one additional household member to access their account. The invited member's access is contingent on the subscriber maintaining an active Business Premium subscription.

7. FREE TRIAL

We may offer a free trial period. At the end of the free trial, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial period ends. Only one free trial per user per plan type.

8. CANCELLATION AND REFUNDS

You may cancel your subscription at any time through your account settings or through the app store through which you subscribed (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period; you will retain access through that date.

Except as required by applicable law, subscription fees are non-refundable. Partial-month refunds are not provided. If you believe a charge was made in error, contact us within 30 days of the charge.

Apple App Store and Google Play Store subscriptions are subject to the respective platform's refund policies.

9. THIRD-PARTY SERVICES

The Service integrates with third-party services, including:

We are not responsible for the practices, content, or availability of third-party services. We encourage you to review the privacy policies of each third party.

10. USER DATA AND CONTENT

You retain ownership of the financial data and content you provide to the Service. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

You are responsible for the accuracy of the data you provide. We do not verify the accuracy of transaction data, categories, or other user-supplied information.

The Service, including all software, design, text, graphics, logos, and other content (excluding your data), is owned by or licensed to Zaifi and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use the Zaifi name, trademarks, or other proprietary marks without our prior written consent.

13. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA STORED WITHIN THE SERVICE WILL BE PRESERVED WITHOUT LOSS.

ZAIFI DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY FINANCIAL DATA, TAX ESTIMATES, OR OTHER INFORMATION PROVIDED BY THE SERVICE. BANK TRANSACTION DATA IS PROVIDED BY THIRD PARTIES AND MAY BE DELAYED, INCORRECT, OR INCOMPLETE.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZAIFI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (\$100).

15. INDEMNIFICATION

You agree to indemnify and hold harmless Zaifi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

17. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the version number and date at the top of this document and, where appropriate, by in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

18. TERMINATION

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 3, 13, 14, 15, and 16 survive termination.
